Promoter pledge
Promoters (the founders or controlling owners) sometimes give their shares to a lender as security for a loan. Those shares are pledged. Companies disclose the pledged share in their quarterly shareholding filings.
- If the share price falls a lot, the lender can ask for more security or sell the pledged shares, which can push the price down further.
- A small or falling pledge is less of a concern than a large or rising one.
- Pledging alone does not mean the company is in trouble; the reason for the loan matters.
